1. Agreement to Terms
Welcome to Agentia Studio ("we," "us," "our"). These Terms of Service ("Terms") constitute a legally binding agreement made between you, whether personally or on behalf of an entity ("you" or "the Client"), and Agentia Studio, concerning your access to and use of the https://agentia.studio website (the "Site") as well as any other media form, media channel, mobile website or mobile application related, linked, or otherwise connected thereto (collectively, the "Services").
By accessing the Site or engaging our Services, you agree that you have read, understood, and agree to be bound by all of these Terms of Service. If you do not agree with all of these terms, then you are expressly prohibited from using the Site and Services and you must discontinue use immediately.
2. Our Services
Agentia Studio provides business automation development services through three primary packages:
- Quick-Win Sprint ($1,499): One high-impact automation delivered in 5 business days
- Growth Stack ($4,999): Up to 5 linked workflows delivered in 2-3 weeks
- Automation OS ($14,999+): Enterprise-level automation system delivered in 4-6 weeks
Each package includes development, testing, deployment, training, documentation, and a defined bug-fix support window. The specific scope, features, and deliverables for any project will be detailed in a separate Statement of Work (SOW) if required.
3. No-Refund Policy
Quality Guarantee: We stand behind our work. We are committed to delivering the services as described and meeting the agreed-upon requirements. If the delivered automation doesn't meet the specifications we agreed upon, we will work with you to make it right at no additional cost.
Payment Terms: Due to the custom nature of our development work and resources allocated upon project commencement:
- All payments are due as specified in your invoice
- Quick-Win Sprint requires full payment to begin
- Larger packages may require 50% deposit
- Refunds are not provided after work has commenced
Bug-Fix Support Windows: Each package includes post-delivery support:
- Quick-Win Sprint: 72-hour bug-fix window
- Growth Stack: 30-day bug-fix window
- Automation OS: 60-day bug-fix window
4. Project Process and Client Responsibilities
Our development process follows a proven 3-step approach:
- Day 0 - Discovery: Free 30-minute audit call to identify automation opportunities and confirm project scope
- Development Phase: We build your custom automation using battle-tested frameworks while you continue your regular operations
- Delivery & Training: Your automation goes live with complete documentation and team training (typically 30 minutes)
Approval: You agree that we cannot proceed with roadmap delivery without your timely and explicit approval at key milestones (e.g., approval of the audit scope and methodology).
Client Delays: You acknowledge that any delays in providing necessary feedback, information, or access to your systems may impact the project timeline. We are not liable for delays caused by the Client.
5. Intellectual Property Rights
A. Client Ownership: Upon full payment, Client owns all custom code, configurations, and implementations created specifically and exclusively for Client's unique business processes, including:
- Custom business logic specific to your operations
- Configuration files with your settings
- Custom UI/branding elements (if applicable)
- Your data, content, and proprietary information
B. Agentia Retained Rights: We retain all rights to:
- Pre-existing intellectual property, frameworks, and methodologies
- Generic functions, libraries, and integration patterns
- Know-how, techniques, and best practices developed during the project
- Any improvements to our existing tools and frameworks
- General automation patterns and industry-standard workflows
C. Right to Create Similar Works: Client acknowledges that Agentia provides similar services to other clients and may develop similar automations for businesses in the same industry. Nothing in this agreement prevents Agentia from:
- Creating similar automations for other clients
- Using general knowledge and skills acquired
- Developing industry-standard solutions
- Reusing generic patterns, templates, and frameworks
D. Non-Exclusive Industry Solutions: Any industry-specific patterns, workflows, or integrations developed during this project may be used by Agentia for other clients, provided that such use does not include Client's confidential information, proprietary data, or unique business processes.
E. Framework License: To the extent any Agentia framework code is included in your deliverables, we grant you a perpetual, non-exclusive license to use such framework code as part of your automation. This license is similar to using open-source libraries - you can use and modify it for your needs, but we retain ownership of the underlying framework.
F. Portfolio Rights: We reserve the right to reference our work for you in our portfolio and case studies, using anonymized data and with respect to confidentiality obligations.
6. User Representations
By using the Site and our Services, you represent and warrant that:
- All information you submit is true, accurate, current, and complete.
- You have the legal capacity and you agree to comply with these Terms of Service.
- You will not use the Services for any illegal or unauthorized purpose.
- Your use of the Services will not violate any applicable law or regulation.
7. Fees and Payment
Package Pricing:
- Quick-Win Sprint: $1,499 (full payment required to start)
- Growth Stack: $4,999 (50% deposit, 50% on delivery)
- Automation OS: $14,999+ (payment terms per agreement)
Upgrade Credits: You receive 100% credit from any package toward upgrading to a higher tier within 90 days.
Payment Terms: Projects require payment as specified in your invoice to secure your spot in our development schedule. Final deliverables and source code are transferred upon receipt of full payment. Late payments may be subject to a 1.5% monthly interest charge.
8. Delivery Timelines and Guarantees
Delivery Commitments:
- Quick-Win Sprint: 5 business days from payment and requirements confirmation
- Growth Stack: 2-3 weeks from project kickoff
- Automation OS: 4-6 weeks from project kickoff
Business Days Definition: Monday through Friday, excluding Swedish public holidays. Our standard working hours are 9:00 AM to 6:00 PM CET/CEST.
Client-Caused Delays: Timelines assume timely client feedback and access provisioning. Delays in providing required information, credentials, or feedback may extend the delivery timeline accordingly.
9. Term and Termination
These Terms of Service shall remain in full force and effect while you use the Site or our Services. We reserve the right to, in our sole discretion and without notice or liability, deny access to and use of the Site and Services to any person for any reason, including for breach of any representation, warranty, or covenant contained in these Terms.
Specific project termination clauses will be outlined in the SOW/MSA.
10. Disclaimer of Warranties
The Site and Services are provided on an "as-is" and "as-available" basis. Except for the specific bug-fix support windows included with each package (72 hours for Quick-Win Sprint, 30 days for Growth Stack, 60 days for Automation OS), we disclaim all warranties, express or implied, in connection with the Site and your use thereof, including, without limitation, the implied warranties of merchantability, fitness for a particular purpose, and non-infringement.
Bug Fix Definition: Our support covers bugs, which are defects causing the automation to not function as specified in the agreed requirements. Feature enhancements, scope changes, or issues caused by third-party service changes are not considered bugs and may be quoted separately.
11. Limitation of Liability
In no event will we or our directors, employees, or agents be liable to you or any third party for any direct, indirect, consequential, exemplary, incidental, special, or punitive damages, including lost profit, lost revenue, loss of data, or other damages arising from your use of the Site or our Services, even if we have been advised of the possibility of such damages.
Notwithstanding anything to the contrary contained herein, our liability to you for any cause whatsoever and regardless of the form of the action, will at all times be limited to the amount paid, if any, by you to us for the specific service giving rise to any claim.
12. Indemnification
You agree to defend, indemnify, and hold us harmless, including our subsidiaries, affiliates, and all of our respective officers, agents, partners, and employees, from and against any loss, damage, liability, claim, or demand, including reasonable attorneys' fees and expenses, made by any third party due to or arising out of your use of the Services or your breach of these Terms of Service.
13. Governing Law and Jurisdiction
These Terms of Service and your use of the Site and Services are governed by and construed in accordance with the laws of Sweden, without regard to its conflict of law principles.
Any legal action or proceeding arising under these Terms will be brought exclusively in the courts located in Malmö, Sweden, and the parties hereby irrevocably consent to the personal jurisdiction and venue therein.
14. Miscellaneous
These Terms of Service and any policies or operating rules posted by us on the Site constitute the entire agreement and understanding between you and us. Our failure to exercise or enforce any right or provision of these Terms shall not operate as a waiver of such right or provision.
